1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of solistiqinnovations.com (the "Website") and the services provided by Solistiq Innovations ("we", "our" or "us"). By using the Website or engaging our services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Website.

2. Our Services

We provide digital marketing services, including performance marketing, lead generation, paid advertising and related consulting and creative work. The exact scope, deliverables, timelines and fees for each project are set out in a written proposal, quotation or agreement ("Service Agreement"). If these Terms conflict with a signed Service Agreement, the Service Agreement applies.

3. Eligibility and Use of the Website

You must be at least 18 years old and legally able to enter into a contract to use our services. You agree to use the Website only for lawful purposes and not to:

• Violate any applicable law or regulation
• Attempt unauthorised access to the Website, servers or other users' data
• Introduce viruses, malware or harmful code
• Scrape, copy or republish Website content without our written permission
• Submit false, misleading or infringing information

4. Client Responsibilities

To deliver our services effectively, clients agree to:

• Provide accurate, complete and timely information, content and approvals
• Give the access we reasonably need (for example, advertising and analytics accounts)
• Ensure the products, offers and claims being advertised are lawful, truthful and comply with advertising platform policies
• Hold the necessary rights and permissions for all materials and data they supply to us

5. No Guarantee of Results

Any estimates, forecasts or case studies shown on the Website or in proposals are for illustration only. Unless expressly stated in a signed Service Agreement, we do not guarantee specific results such as leads, sales, rankings, traffic, return on ad spend or revenue.

6. Fees, Payments and Ad Spend

• Fees are as stated in the applicable proposal or Service Agreement and are payable by the due dates on our invoices.
• Advertising spend paid to third-party platforms (such as Google or Meta) is separate from our service fees unless agreed otherwise, and is the client's responsibility.
• Late payments may result in suspension of services and, where permitted by law, late fees.
• Applicable taxes, including GST where relevant, are charged in addition to fees unless stated otherwise.
• Fees already paid are non-refundable except where stated in the Service Agreement or required by law.

7. Intellectual Property

All content on the Website, including text, graphics, logos, design and code, is owned by or licensed to Solistiq Innovations and protected by intellectual property laws. You may not use it without our prior written consent.

Ownership of deliverables created for a client is governed by the Service Agreement. Unless agreed otherwise, ownership of final deliverables transfers to the client once all fees are paid in full, while we keep our pre-existing tools, methods, templates and know-how. Clients grant us permission to use supplied materials to perform the services.

8. Third-Party Platforms and Links

Our services rely on third-party platforms and tools, such as Google, Meta and analytics providers. These are governed by their own terms and policies, and we are not responsible for their availability, changes, account suspensions or ad disapprovals. The Website may also link to third-party sites that we do not control or endorse.

9. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only for the purpose of the engagement, except where disclosure is required by law.

10. Disclaimer of Warranties

The Website and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, reliability, fitness for a particular purpose or uninterrupted availability. Information on the Website is for general purposes and is not professional, legal or financial advice.

11. Limitation of Liability

To the maximum extent permitted by law, Solistiq Innovations and its team will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or business opportunities, arising from your use of the Website or services. Our total liability for any claim will not exceed the fees you paid to us for the specific service giving rise to the claim in the three (3) months before the claim arose.

12. Indemnification

You agree to indemnify and hold harmless Solistiq Innovations from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or the content, products or claims you ask us to promote.

13. Termination

Either party may end an engagement in line with the notice terms in the Service Agreement. We may suspend or end access to the Website or services immediately if you breach these Terms. Sections that by their nature should continue after termination (such as payment, intellectual property, confidentiality, liability and indemnity) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of India. We encourage you to contact us first so we can try to resolve any dispute in good faith. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts at Gurugram, Haryana, India.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date, and continued use of the Website or services means you accept the changes.
